You must read and agree to these terms and conditions before you can become an active member of Powerdivas.com. Please review them carefully.

1. By signing on as a member of Powerdivas.com you agree to be bound by all the terms and conditions set forth in this agreement (the "Agreement"). The parties to this Agreement are you, the (“Subscriber”), and Powerdivas.com™ ("Company"). Subject to the terms and conditions set forth in this Agreement, the Company agrees to provide to you all the privileges of subscription to Powerdivas.com available to a Subscriber in good standing. This Agreement is subject to change by Company at any time, and changes are effective upon notice to the Subscriber by e-mail, posting or by mail.

2. DOWNLOADING IMAGES AND OTHER MATERIALS FROM THIS SITE IS RESTRICTED TO NORMAL BROWSER ACCESS FOR VIEWING ONLY. BULK SITE DOWNLOADERS ARE NOT PERMITTED. USERS OF SUCH BULK DOWNLOADERS MAY HAVE THEIR ACCESS PRIVILEGES REVOKED. NO PERSONS UNDER THE AGE OF EIGHTEEN (18) YEARS (TWENTY-ONE (21) IN PLACES WHERE EIGHTEEN YEARS IS NOT THE AGE OF MAJORITY) MAY DIRECTLY OR INDIRECTLY VIEW OR POSSESS ANY OF THE CONTENTS OF Powerdivas.com OR PLACE ANY ORDERS FOR ANY GOODS OR SERVICES ADVERTISED AT OR IN Powerdivas.com. YOU HEREBY ACKNOWLEDGE THAT MATERIALS PRESENTED AT AND/OR DOWNLOADABLE FROM POWERDIVAS.COM INCLUDE SOME NUDITY, THAT YOU ARE FAMILIAR WITH MATERIALS OF THIS KIND, AND THAT YOU ARE NOT OFFENDED BY SUCH MATERIALS.

3. You acknowledge and agree that all materials contained at Powerdivas.com are proprietary and constitute valuable intellectual property owned by the Company and others who have licensed use of such materials to the Company. You acknowledge and agree that as such, You may access, view, download, receive and otherwise use the materials available at Powerdivas.com only as authorized by the Company. You agree that You shall at no time access, view, download, receive or otherwise use, or cause or enable others to access, view, download, receive or otherwise use materials, directly or indirectly in places which the Company does not authorize such access, viewing, downloading, receipt or other use. You hereby acknowledge and agree that no materials from Powerdivas.com are authorized or intended by the Company to be accessed, viewed, downloaded or used by, or transmitted, broadcast or otherwise disseminated to any person or entity located in any and all areas designated as PROHIBITED AREAS below. You agree that any and all unauthorized access, viewing, downloading, receipt, duplication or other use of materials from Powerdivas.com, in which You are directly or indirectly involved, including, but not limited to accessing, viewing, downloading, receiving or other use of materials from this gallery in PROHIBITED AREAS in any manner shall constitute intentional infringement(s) of Powerdivas.com and potentially others' intellectual property rights and other rights in such materials and shall further constitute a violation of Powerdivas.com and other rights, including, but not limited to, rights of privacy.

4. PROHIBITED AREAS: All parts of every geophysical place corresponding to a political entity or part thereof in which the access, viewing, downloading or other use of materials at Powerdivas.com would, or could reasonably constitute a violation of any law, regulation, rule or custom.

5. THE CURRENT MEMBERSHIP FEE THAT YOU WILL BE CHARGED IS $15.00 FOR 30 DAYS ("SUBSCRIPTION TERM") ACCESS TO VIEW ALL IMAGES WITHIN. YOU WILL THEN BE CHARGED JUST $10.00 PER MONTH THEREAFTER. UNLESS AND UNTIL THIS AGREEMENT IS CANCELLED BY YOU. YOU HEREBY AUTHORIZE IBILL/POWERDIVAS.COM TO CHARGE YOUR CREDIT CARD, which you hereby acknowledge was entered by You, to pay for the ongoing cost of Your Powerdivas.com Subscription as well as any other purchases You make as a Powerdivas.com Subscriber. Subscriptions may not be assigned or transferred to any other person or entity.

6. THE SUBSCRIPTION TERM IS AUTOMATICALLY RENEWED AT THE END OF EACH PRECEDING SUBSCRIPTION TERM UNLESS NOTICE IS RECEIVED TO COMPANY FROM YOU AT LEAST ONE (1) WEEK PRIOR TO THE RENEWAL DATE OF THE THEN CURRENT SUBSCRIPTION TERM. Your Subscription to Powerdivas.com will be discreetly billed to Your credit card as "IBILL". Subscriber further authorizes IBILL, representing Powerdivas.com to charge Subscriber's credit card for any and all purchases of products, services and entertainment available at, in or on, or provided by Powerdivas.com.

7. You understand that if You cancel your monthly membership, Your unique Subscription ID# will be removed from the system approximately 30 days from the date of your last charge but that You will still be entitled to receive the full benefits of Your Subscription to Powerdivas.com until the elapse of the aforementioned approximately 30 day period. YOU ACKNOWLEDGE AND AGREE THAT IF YOU CANCEL BEFORE 30 DAYS, YOU SHALL NOT BE ENTITLED TO A REFUND OF ANY KIND. YOU ACKNOWLEDGE AND AGREE THAT COMPANY SHALL NOT REFUND THE UNUSED DIFFERENCE BUT SHALL INSTEAD PROVIDE YOU WITH THE REMAINDER OF FULL 30 DAYS SUBSCRIPTION TERM. YOU AGREE THAT IF YOU CANCEL AT ANY TIME AFTER PURCHASING A SUBSCRIPTION TO Powerdivas.com (e.g., 20 MINUTES AFTER YOU SIGN UP FOR MEMBERSHIP), YOU WILL STILL BE CHARGED. THERE ARE NO REFUNDS.

8. Subscription to Powerdivas.com may be terminated at any time, and without cause, by either Company or Subscriber upon notification of the other by electronic or conventional mail, or by telephone. 9. Access to and use of Powerdivas.com is through the use of a password. Each Subscriber must keep his password strictly confidential. You give Your permission to the Company to collect statistical information on Your source Internet Provider address, and agree that if You share Your unique Login name and/or Your Password with another individual that Your access to Powerdivas.com is subject to immediate termination without notice or reimbursement of any kind.

10. Prohibited uses of graphic files, audio files, video files, text, hyperlinks, interlinks, search engines, and other software on Powerdivas.com ("Materials") include: (1) modifying, translating, reverse engineering, decompiling, disassembling the Materials (except to the extent applicable laws specifically prohibit such restriction); (2) making copies or creating derivative works based on the Materials except as provided herein; (4) renting, leasing, or transferring any rights in the Materials; (4) removing any proprietary notices or labels on the Materials.

11. Except for public domain material or material otherwise licensed to Powerdivas.com for dissemination, all Materials displayed at or otherwise available through Powerdivas.com are proprietary, and, except for initial downloading by web-browser FOR VIEWING ONLY, may not be copied, redistributed, or downloaded and saved to be viewed without subcription, in whole or in part, without the prior written authorization of Powerdivas.com.

12. You agree that Materials and all other services provided to you by Powerdivas.com are provided on an "AS IS" basis, without warranties of any kind. This disclaimer of warranty constitutes an essential part of the Agreement. Some states do not allow exclusions of an implied warranty, so this disclaimer may not apply to you and you may have other legal rights that vary from state to state or by jurisdiction.

13. Company does not screen or endorse advertisements or communications submitted to Powerdivas.com by third-party licensees, advertisers, or subscribers for electronic dissemination through Powerdivas.com. Subscribers are therefore advised to use their own judgment to evaluate all advertisements and other communications available at or through the use of Powerdivas.com prior to purchasing goods and/or services described at Powerdivas.com or otherwise responding to any communication at Powerdivas.com.

14. Any liability of Powerdivas.com shall be strictly limited to the amount of membership fee paid by or on behalf of the subscriber to Powerdivas.com for the preceding month. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

15. No warranty is made by Company regarding any information, services, Materials or products provided through or in connection with the Powerdivas.com, and Company hereby expressly disclaims any and all warranties, including without limitation: 1) any warranties as to the availability, accuracy, or content of Materials, information, products, or services; 2) any warranties of merchantability or fitness for a particular purpose. Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

16. "Powerdivas.com" is a service mark of Powerdivas.com/IvanaFord.com. All rights are reserved.

17. If the Company should at any time provide any service which enables Subscribers to communicate with or otherwise share information with other Subscribers or persons providing any kind or service to Subscribers, or post information at, in or on Powerdivas.com, you agree not to post, submit, publish, display, disseminate, or otherwise communicate any defamatory, inaccurate, abusive, threatening, offensive, or illegal material or any material which would violate or infringe the copyright, trademark, rights of publicity, privacy rights or other rights of any person.

18. Notices from Powerdivas.com to Subscribers may be given by means of e-mail, by general posting on Powerdivas.com or by conventional mail. Communications from you to the Company may be made by e-mail. All questions, complaints, or notices to Powerdivas.com may be sent by means of electronic mail to service@powerdivas.com.

19. Powerdivas.com is not affiliated with any company or organization other than Powerdivas.com, representing photographer Ivana Ford. No inference of association or affiliation with, or endorsement by any company or organization is intended or should be inferred.

20. This Agreement contains the entire agreement between the Subscriber and Company regarding Subscribers' use of Powerdivas.com and all materials directly and indirectly related thereto. This Agreement shall be governed by and construed under the laws of the State of California and the United States as applied to agreements between California state residents entered into and to be performed within the State of California, except as governed by Federal law.

21. BY SUBMITTING YOUR CREDIT CARD INFORMATION TO IBILL/POWERDIVAS.COM, YOU ARE CONFIRMING THAT YOU HAVE READ THE MEMBERSHIP AGREEMENT ABOVE IN ITS ENTIRETY, UNDERSTAND ITS TERMS, CONSENT TO ALL THE TERMS AND CONDITIONS SET FORTH IN THE MEMBERSHIP AGREEMENT, REPRESENT AND WARRANT THAT YOU ARE CURRENTLY OVER THE AGE OF 18 YEARS (TWENTY-ONE (21) IN PLACES WHERE EIGHTEEN YEARS IS NOT THE AGE OF MAJORITY) AND UNDERSTAND THAT MATERIALS PRESENTED AT Powerdivas.com INCLUDE SOME NUDITY. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT, ARE NOT OVER 18 YEARS OF AGE, OR ARE IN AN UNAUTHORIZED DOWNLOADING LOCATION, EXIT Powerdivas.com IMMEDIATELY.
